Health Reimbursement Account Program

This Health Reimbursement Account Program describes health benefit reimbursements that may be made in conjunction with the Benefit Plan providing group health coverage and identified in the Adoption Agreement. The benefits described in this Health Reimbursement Account Program shall be deemed to be provided through the Benefit Plan.

Other Definitions

Benefit Plan. The term "Benefit Plan" means the group health plan maintained by the Company for the benefit of its employees and their dependents that is used for the payment of reimbursements from Health Reimbursement Accounts.

Covered Period. The "Covered Period" with respect to a Participant shall begin as of the first day that Participant satisfies the eligibility requirements of item 7 of the Adoption Agreement. and shall continue until the date that Participant is no longer eligible to participate under item 7 ofthe Adoption Agreement.

Health Reimbursement Account.The term "Health Reimbursement Account"" shall mean that account contributed to and maintained by the Employer for each Participant for the reimbursement of Qualifying Medical Expenses.

Dependent. The term "Dependent" shall have the same meaning as set forth in item 6 of the Adoption Agreement.

Eligible Employee. The term "Eligible Employee" shall have the same meaning as set forth in item 7 of the Adoption Agreement.

Plan Administrator and/or Plan Supervisor.The terms "Plan Administrator" and "Plan Supervisor" shall have the same meanings as set forth in the Benefit Plan.

Plan Year.The term "Plan Year" shall have the same meaning as set forth in item 4 of the Adoption Agreement.

Qualifying Medical Expenses.The term "Qualifying Medical Expenses" shall mean any expense incurred by a Participant or by the Spouse or Dependent of that Participant for medical expenses as defined in Section 213 of the Code (including, without limitation, amounts paid for hospital bills, doctor bills, drugs, deductibles, co-payments for accident and health insurance, dental expenses, and vision care expenses), but only to the extent that the Participant or other person incurring the expense is not reimbursed for the expense through insurance or otherwise (other than under this Program) and only to the extent the expense is incurred during the Participant's Covered Period.

Spouse.The term "Spouse" shall mean the spouse of a Participant.
